TERMS OF USE | ONTHEBIAS

This website, platform, and all digital content are operated by PYGMALION PROJECTS LLC ("ONTHEBIAS," "we," "us," or "our"). By accessing, browsing, subscribing to, or purchasing from ONTHEBIASTUDIO (the "Platform"), you ("User," "you," or "Subscriber") agree to be legally bound by these Terms of Use and Subscription Terms ("Terms").

If you do not agree to these Terms, please do not use this Platform.

1. Acceptance of Terms

By accessing or using ONTHEBIAS services, you agree to be bound by these Terms of Use. People who purchase ONTHEBIAS assets or credits are also subject to these Terms.

2. Eligibility & Account Responsibilities

You must be at least 18 years old, or the age of majority in your jurisdiction, to access and use ONTHEBIASTUDIO.

By registering an account, you agree to:

- Provide accurate and up-to-date information

- Maintain the security of your login credentials

- Not share your account or login details with anyone outside of an authorized multi-seat plan

We reserve the right to suspend or terminate accounts for misuse, breach of terms, or fraudulent activity.

3. Plans and Access Levels

ONTHEBIASTUDIO offers the following subscription tiers:

a. Designer

A paid subscription that grants access to:

- Full Design Asset Library (15,000+ editable tools) on ONTHEBIASTUDIO

- Fashion Trend Forecasts on ONTHEBIASTUDIO

- Tech Pack templates on ONTHEBIASTUDIO

- Unlimited studio asset downloads during your active subscription

- 10 universal service credits per billing cycle for use across all request services (see Section 5)

- AI Design, Sourcing & 3D Tools (as released) on ONTHEBIASTUDIO

- Full Class Library on ONTHEBIASTUDIO

B. Professional

An enhanced paid subscription that includes everything in the Designer plan, plus:

- 30 universal service credits per billing cycle (see Section 5)

- Priority support and expanded access to enterprise features as released

Service credits granted with Designer and Professional subscriptions reset each billing cycle. Unused service credits do not roll over to the next period.

4. Subscription Terms & Access

All ONTHEBIASTUDIO subscriptions are recurring payments granting access to the platform and its features for the duration of your active subscription.

Scope of Access: Your subscription grants you access to ONTHEBIASTUDIO and all included features, tools, and assets available during your subscription period, plus any updates, additions, or improvements made while your subscription remains active.

Subscription Period: Access to ONTHEBIASTUDIO requires an active subscription. Your subscription will automatically renew at the end of each billing cycle unless canceled prior to renewal. You may cancel your subscription at any time through your account settings.

Billing Cycles: Subscriptions are available on a quarterly or annual basis. Pricing is as follows and is subject to change with notice:

Recurring Charges: By subscribing, you authorize ONTHEBIAS to charge your payment method on a recurring basis according to your selected billing cycle. You will be notified of any pricing changes prior to your next billing cycle.

Cancellation: Upon cancellation, you will retain access to ONTHEBIASTUDIO until the end of your current billing period. After that period ends, your access will be terminated and you will no longer be able to use the platform or its features. Unused service credits are forfeited upon cancellation or expiry and are not refundable.

No Refunds: All subscription payments are final. Due to the instant-access nature of digital products, refunds will not be granted for any reason, including but not limited to dissatisfaction, change of mind, partial-period cancellations, or technical misunderstanding. You remain responsible for ensuring the product meets your needs prior to subscribing.

Purchase of previous ONTHEBIAS products does not entitle access to ONTHEBIASTUDIO.

5. Credits & Service Credits

ONTHEBIAS operates a credit-based system for accessing certain platform services. Credits are digital units that grant the right to use specific features or submit service requests.

5.1 Credit Types

The platform uses two categories of credits:

a. Universal Service Credits — Included with Designer and Professional subscriptions or available for individual purchase. Service credits can be used across all request services offered on the platform (see Section 6). Service credits granted with a subscription reset each billing cycle and do not roll over.

b. A-La-Carte Credits — Purchasable individually or in packs for specific service types. A-la-carte credits are tied to a particular service (e.g., tech pack credits, trend report credits, design request credits, asset download credits) and may only be used for that service. A-la-carte credits do not expire.

5.2 Service Credit Packs (A-La-Carte Purchase)

Service credits may be purchased individually through the platform at published prices. Available packs include but are not limited to: 1, 3, 10, 25, 50, 100, and 250 credit packs. Pricing is published on the ONTHEBIAS Credits page and is subject to change.

Asset download credits are sold separately from service credits and are available in packs (e.g., 5, 15, or 50 downloads).

5.3 Credit Usage & Deduction

Credits are deducted at the time a service request is submitted or an asset is downloaded. The number of credits required varies by service type (see Section 6). Once a request is submitted and credits are deducted, the deduction is final and non-reversible regardless of the outcome of the request.

5.4 No Refunds on Credits

All credit purchases — whether service credits, download credits, or a-la-carte credits — are final sale. Credits are non-refundable, non-transferable, and may not be exchanged for cash or applied to other accounts. Unused credits from a subscription billing cycle are forfeited at the start of the next cycle.

5.5 Balance Visibility

Your current credit balances are visible on the Credits page and on applicable service request pages within the platform. ONTHEBIAS is not responsible for monitoring your credit usage on your behalf.

6. Service Requests

ONTHEBIASTUDIO offers professional service requests that allow users to commission custom design work, sourcing assistance, and production support. Service requests require credits and are subject to the following terms.

6.1 Available Service Request Types

The following service request types are available on the platform. Service credit costs for subscribers (Designer/Professional) are listed below. Non-subscribers may use a-la-carte credits (1 credit per request) where available.

Asset Request - 1 credit

Trend Report Request - 1 credit

Supplier Match Request - 1 credit

Design Request - 2 credits

Production Management Request - 2 credits

Tech Pack Request - 3 credits

Brand Identity Request - 4 credits

Pattern Making / 3D Request - 4 credits

Line Sheet Request - 5 credits (Small), 8 credits (Medium), 12 credits (Large)

Design-to-Delivery Request - 16 credits

Revision Request - 1 credit

RFQ (Request for Quote) - Free (no credits required)

Credit costs are subject to change. Current costs are displayed on the applicable request page at the time of submission.

6.2 Submission & Processing

All service requests are submitted through the platform and processed by the ONTHEBIAS team or designated service partners. Submission of a request does not guarantee a specific outcome, timeline, or deliverable format unless explicitly stated on the request form.

6.3 Delivery & Turnaround

Estimated delivery timelines are provided as guidance and are not guaranteed. ONTHEBIAS will make commercially reasonable efforts to fulfill requests within the stated timeframe but is not liable for delays.

6.4 Revisions

Completed or delivered service requests may be eligible for a revision. Revisions cost 1 service credit and are submitted through the My Requests page. Revisions are limited to modifications of the original request scope. ONTHEBIAS reserves the right to decline revision requests that constitute a new or substantially different project.

6.5 Intellectual Property of Requested Assets

All design assets, tech packs, trend reports, and other deliverables created through ONTHEBIAS service requests remain the intellectual property of ONTHEBIAS as digital files and may be added to the ONTHEBIAS asset library for use by other subscribers. You receive a usage license consistent with the licensing terms in Section 8. If you require exclusive ownership of commissioned work, you must arrange a separate agreement with ONTHEBIAS prior to submission.

6.6 Non-Refundable

Once a service request is submitted and credits are deducted, the request is non-refundable. Credits will not be restored for completed, in-progress, or canceled requests.

7. Intellectual Property

All designs, graphics, software, instructional materials, and trademarks on this site are owned or licensed by ONTHEBIAS and protected by intellectual property law. Unauthorized use is strictly prohibited. All design assets requested through the "Design Assets Request" and other similar request forms remain the IP of ONTHEBIAS — as they pertain to digital files — and will be added to our asset library. Including but not limited to (tech packs, flat sketch templates, 3D design assets, etc.). These requested assets fall under the same usage terms as existing assets in the ONTHEBIAS library.

All third-party company names, logos, and product trademarks displayed on the ONTHEBIAS website are the property of their respective owners. ONTHEBIAS makes no claim of ownership over any trademarks or logos other than its own.

8. Licensing and Extended Licensing

8.1 Standard License

All ONTHEBIAS assets (including but not limited to design files, croquis, tech packs, and trend reports) are provided under a limited, non-exclusive, non-transferable Standard License tied to your subscription plan. This Standard License permits internal creative development and personal or brand-specific use only. You may not sell, redistribute, sublicense, or otherwise commercially exploit the assets beyond your own internal projects without obtaining an Extended License.

8.2 Extended Licensing Tiers

For commercial, enterprise, or large-scale use, you must obtain a valid Extended License. Extended Licenses are available in the following tiers, each with its own terms:

- "Freelancer License" — for solo designers creating paid client work.

- "Brand Owner License" — for individual brand founders developing and selling their own products.

- "Studio License" — for small teams or boutique brands (2–5 users).

- "Agency License" — for agencies, multi-client teams, or larger brand operations (up to 15 users).

- "Enterprise License" — for high-volume, multi-brand, SaaS, or resale-based use, including AI training or marketplace embedding.

- "Educational License" — for instructors, schools, or course creators using assets for teaching or student distribution (non-commercial).

Each license tier carries specific rights, restrictions, and fees as published on onthebiasdesign.com/extended-licensing. Purchasing or using assets under these tiers constitutes acceptance of those terms. You may visit that link to purchase your license tier.

8.3 Restrictions Without Extended Licensing

Without a valid Extended License, you expressly may not:

- Present or deliver assets to clients as part of paid work

- Use assets across multiple brands, teams, or enterprises

- Upload assets into AI training datasets, SaaS tools, or apps

- Sell, share, or distribute ONTHEBIAS assets (including modified versions)

- Embed assets into educational materials, courses, or curriculum

- Use assets in any system that directly or indirectly generates revenue beyond single-user subscription rights

8.4 Ownership & Enforcement

All ONTHEBIAS assets remain the exclusive intellectual property of ONTHEBIAS. Extended Licenses grant usage rights only and do not transfer ownership. We reserve the right to monitor usage across platforms, marketplaces, and production workflows. Unauthorized use may result in account suspension, revocation of rights, takedown actions, or legal enforcement including claims for damages.

8.5 AI & Enterprise Use

Use of ONTHEBIAS assets in AI training, dataset enrichment, white-label SaaS, or automated production systems is strictly prohibited without a custom Enterprise License agreement.

9. AI Tools, Features & Design Ownership

9.1 AI-Powered Features

ONTHEBIASTUDIO incorporates artificial intelligence across multiple platform features, including but not limited to:

- OBIE — an AI-powered sourcing and factory-matching assistant

- AI Design Tools — generative and assistive design features integrated into the platform

- AI Sourcing — automated supplier matching and recommendation systems

- 3D Design Tools — AI-enhanced 3D modeling and visualization capabilities

These AI features are provided as tools to enhance your creative process. Outputs are informational and assistive in nature and do not constitute professional, legal, financial, or compliance advice.

9.2 Ownership of Your Work

You retain full ownership of any designs, outputs, or creative work you generate using ONTHEBIASTUDIO tools, including AI-assisted features. ONTHEBIAS will never use, license, or share your original work without your explicit consent.

9.3 Data & Model Training

Unless otherwise stated, your data is not used to train ONTHEBIAS foundational models or the models of other users. Any training or customization of AI tools using your activity is private to your account and will not affect or be accessible by other users.

You may choose to voluntarily contribute content to shared models, beta features, or community datasets — but participation will always be opt-in and clearly disclosed in advance.

9.4 AI Output Disclaimer

AI-generated outputs (including recommendations from OBIE, generated designs, sourcing suggestions, and trend analyses) are provided "as is" and without warranty. ONTHEBIAS does not guarantee the accuracy, completeness, or fitness for purpose of any AI-generated content. You are solely responsible for reviewing, validating, and approving any AI-generated output before relying on it for business, production, or commercial purposes.

10. Prohibited Conduct

Users may not:

- Misuse the platform

- Attempt to hack, reverse engineer, or distribute harmful code

- Infringe upon other users' rights

- Abuse the credit system, including attempting to exploit, manipulate, or circumvent credit deduction mechanisms

- Create multiple accounts to obtain additional free credits or circumvent usage limits

- Use automated tools, bots, or scripts to submit requests, download assets, or interact with the platform without authorization

ONTHEBIAS reserves the right to suspend or terminate accounts that violate these conditions.

11. Indemnification

You agree to indemnify and hold ONTHEBIAS, its affiliates, employees, and partners harmless from any claims, losses, or expenses (including legal fees) resulting from:

- Your misuse of ONTHEBIASTUDIO content or tools

- Unauthorized redistribution or commercial use of licensed assets

- Violation of third-party rights or applicable laws

- Any breach of these Terms

12. Limitation of Liability

ONTHEBIAS acts solely as a platform to connect users, brands, service providers, and manufacturers. We do not verify or guarantee the quality, reliability, or legality of third-party services, communications, or transactions conducted through the platform.

By using ONTHEBIAS, you acknowledge and agree that ONTHEBIAS is not liable for any damages, disputes, losses, fraud, or dissatisfaction arising from your interactions with other users, providers, factories, or any third party listed or featured on the platform.

To the maximum extent permitted by law, ONTHEBIAS shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to lost profits, lost data, reputational harm, business interruption, or service failure — even if advised of the possibility of such damages.

Additionally, while ONTHEBIAS provides digital design assets, templates, educational content, and creative tools, these materials are offered "as is" without warranty. We do not guarantee that any downloaded or accessed asset will meet your specific technical, legal, or commercial needs. You are solely responsible for ensuring that any use of ONTHEBIAS content, assets, or tools complies with your intended use case, applicable laws, and any third-party requirements.

All users assume full responsibility for their decisions and actions made through or in connection with the platform, including but not limited to the use of ONTHEBIAS content, participation in its directories, and engagement with third parties.

13. Directory & OBIE Disclosures

13a) Third-Party Factories; No Vetting or Endorsement

ONTHEBIAS ("ONTHEBIAS," "we," "us") provides access to a directory of manufacturers and the OBIE AI assistant (together, the "Services"). The factories and suppliers listed are third parties and have not been vetted, audited, or endorsed by ONTHEBIAS. Inclusion in the directory or being surfaced by OBIE does not constitute a recommendation, certification, warranty, or guarantee of any kind.

13b) Information Sources; No Guarantee of Accuracy

Factory details (e.g., capabilities, MOQs, certifications, lead times, pricing, contact information) may be self-reported or sourced from third-party websites and are provided "AS IS." We do not promise that any information is accurate, complete, current, or free of errors. You are solely responsible for verifying all information directly with the factory or an independent professional before making any decision.

13c) User Responsibilities & Due Diligence

You agree to conduct your own due diligence appropriate to your use case, which may include: requesting certificates and IDs from issuers, reviewing sample quality, confirming MOQs and timelines, checking pricing and terms, reviewing labor and environmental compliance, and executing your own NDAs and purchase terms. You assume all risk arising from communications, negotiations, samples, purchases, and other dealings with any third party.

13d) OBIE Assistant; No Professional Advice

OBIE may summarize third-party information and suggest next steps (e.g., preparing RFQs). OBIE's outputs are informational only and not legal, compliance, financial, or professional advice. You should obtain independent advice where needed. You remain solely responsible for your decisions and outcomes.

13e) Third-Party Links & Communications

The Services may link to third-party sites, emails, or messaging channels. We do not control and are not responsible for any third-party content, policies, availability, or security. Your communications and transactions with third parties are exclusively between you and those parties.

13f) No Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES (INCLUDING THE DIRECTORY, OBIE OUTPUTS, AND ANY THIRD-PARTY INFORMATION) ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY WARRANTIES OF ACCURACY, RELIABILITY, FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, TITLE, OR NON-INFRINGEMENT.

13g) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONTHEBIAS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOST PROFITS, LOST REVENUE, LOSS OF DATA, BUSINESS INTERRUPTION, OR REPUTATIONAL HARM, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES OR ANY THIRD-PARTY DEALINGS—EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO ONTHEBIAS FOR THE SERVICES IN THE 6 MONTHS BEFORE THE CLAIM OR (B) USD $100.

13h) Indemnification

You agree to defend, indemnify, and hold harmless ONTHEBIAS from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to: (i) your use of the Services; (ii) your dealings with any third party; (iii) your content, specifications, or instructions; or (iv) your violation of these Terms or applicable law.

13i) Acceptance by Use

By accessing or using the directory and/or OBIE, you acknowledge and agree to these Terms, including the disclaimers, limitations, and your responsibilities described above. If you do not agree, do not use the Services.

14. Refund Policy

We enforce a strict no-refund policy for all:

- Subscription payments (quarterly or annual)

- One-time digital product purchases

- Credit pack purchases (service credits, download credits, and a-la-carte credits)

- Partial usage or early cancellation

Refunds will not be granted for dissatisfaction after access, forgotten cancellations, or technical misunderstandings. Digital product purchases and credit purchases are final sale due to the instant access and intellectual property protection involved.

15. Third-Party Services

We may integrate third-party services such as Calendly, Klaviyo, Stripe, Zapier, or Zendesk to deliver and support our experience. Your use of those services is also governed by their respective privacy policies and terms of service.

Payment processing for subscriptions and credit purchases is handled through Stripe. By purchasing credits or subscriptions, you also agree to Stripe's terms of service.

16. Platform Conduct

Users agree not to:

- Harass, impersonate, or abuse other users

- Share malicious software, phishing attempts, or unauthorized links

- Scrape, mirror, or clone any part of the ONTHEBIASTUDIO platform

- Use the platform to promote competing services or products

ONTHEBIAS reserves the right to suspend or terminate access for any conduct that disrupts the community or undermines the platform's integrity.

17. Enterprise and Multi-Seat Access

Enterprise access is available to teams, schools, and agencies.

Team members must:

- Be registered with their own licensed account or assigned seat

- Comply with all usage restrictions and licensing terms

Account sharing or seat overuse will result in enforcement action and may require plan upgrades. Service credits are not shared across seats unless explicitly stated in a custom enterprise agreement.

18. Intellectual Property Ownership

All content, systems, language, product designs, visual identity, and back-end architecture of ONTHEBIASTUDIO are the sole intellectual property of ONTHEBIAS.

You may not use our brand, name, likeness, or proprietary framework without written permission.

19. Platform Availability

ONTHEBIASTUDIO is provided "as is." We make no guarantee of uninterrupted availability or permanent access to any feature or digital asset.

We may modify, pause, or discontinue parts of the service at our discretion. In the event that a paid feature or service is permanently discontinued, ONTHEBIAS will make commercially reasonable efforts to notify affected users, but no refund or credit is owed.

20. Termination

We may terminate or suspend your account without notice for:

- Breach of these Terms

- Abuse of the platform or credit system

- Non-payment or chargebacks

- Unauthorized redistribution or piracy

- Manipulation or exploitation of credit, download, or request systems

In the event of termination, no refund will be issued. All remaining credits and subscription access will be forfeited.

21. Legal Jurisdiction

These Terms are governed by the laws of the State of Iowa, United States.

Any disputes will be resolved in the appropriate courts of Iowa unless otherwise stated by ONTHEBIAS.

22. Updates to These Terms

ONTHEBIAS reserves the right to update or modify these Terms at any time.

Changes will be posted to this page and take effect immediately. Continued use of the platform after such changes constitutes acceptance.

23. Platform Activity Monitoring & Data Use

ONTHEBIAS may monitor and analyze user activity on the platform, including but not limited to: features accessed, downloads, credit usage, service request submissions, usage frequency, category preferences, and tool interactions. This data may be used to improve platform performance, enhance user experience, and develop new tools and features.
